On the 25th May 2018 the EU 鈥淕eneral Data Protection Regulation鈥 GDPR comes into force. This is new EU privacy legislation, replacing 95/46/EC Directive on Data Protection of 24 October 1995. It will strengthen the rights that individuals have regarding their personal data. GDPR is a big topic for many businesses as it impacts how they manage data. 听

Your role

Setting up your own business can be a complex venture, and legal advice is an absolute must in most cases. But do you know when to consult with a solicitor and what you can actually do for yourself? Here, you鈥檒l find out when you genuinely need to seek legal advice in the process of setting up your company.

In the initial stages, you don鈥檛 need a solicitor鈥檚 help with anything that doesn鈥檛 require legal expertise; from developing your original idea and writing a business plan, to carrying out market research and choosing your business name. But there are specific things a business solicitor can definitely help you with.

Structuring and registering your business

Once you鈥檝e decided on the best structure for your new business, will you still need a lawyer to help you form your company? It will all depend on the company size, complexity and goals. Here are our tips based on the main business types:

a. Sole traders

Legal advice required:听Not necessarily. Sole traders run their own business without partners or shareholders. There are minimal set up and accounting responsibilities, but you have personal liability for any business debts. Most sole traders can manage their own business affairs, unless they need a licence to trade or have specific regulatory obligations or data protection principles.

More info:听You don鈥檛 need to be registered with Companies House. You鈥檒l need to register for Self-Assessment and file a tax return every year. If turnover is 拢85,000 or less, you don鈥檛 need to be VAT registered.

b.听General partnerships

Legal advice required: You share responsibilities with another person or business. All profits are taxed as income and each partner will need to file a separate tax return. All are liable for any business debts. You鈥檙e not legally obligated to seek legal advice, but it would be beneficial to get help from a solicitor on drafting a partnership agreement. You鈥檒l need to refer to The Partnership Act 1890, but it doesn鈥檛 cover everything related to setting up a partnership so it鈥檚 important to enter into a general partnership agreement and ensure the relationship is properly documented.

c.听Limited partnerships (LPs)

Legal advice required:听LPs generally deal with the set up and administration of complex funds, and partners have different responsibilities and debt liabilities. There must be a general partner who manages the business and at least one limited partner who is only liable for debts amounting to the sum they鈥檝e contributed to the business. It鈥檚 vital to get professional legal advice on the roles each party should take, and to have a solicitor draw up agreements, including a limited partnership agreement, to ensure the arrangement complies with the Limited Partnership Act 1907.

d.听Limited liability partnerships (LLPs)听

Legal advice required:听LLPs must have at least two permanent designated partners. Partners鈥 financial liabilities for the debts of the business are minimised. It鈥檚 essential to get legal advice on the LLP agreement detailing each partner鈥檚 responsibilities, who the decision makers are, the split of profits and the process for severing ties with the business. A solicitor should draw up the documentation.

e.听Limited companies

Legal advice required: The most common type of company is a company limited by shares (private or public). A limited company is responsible for its own debts and liabilities. Limited companies must be incorporated at Companies House and are subject to ongoing filing and disclosure obligations. If you have more than one shareholder in your company or someone else has more than a 25% share, you鈥檒l need legal advice to 鈥榠ncorporate鈥 your company and enter into a shareholders鈥 agreement. Articles of association tailored to the specific needs of the company must be filed at Companies House, who must be notified of any subsequent changes to the articles.

  • Business premises agreements

Comercial property law is very complex so it鈥檚 advisable to get legal advice from a commercial property solicitor if your business is buying or selling commercial property, acting as a landlord of commercial premises or taking over a commercial lease.

You wouldn鈥檛 require specialist legal advice if you are a sole trader running a business from home. More information can be found on听.

Licences to trade

You can apply for many licences yourself, such as those for street trading, selling alcohol, and operating food premises. You can find a听.

But there are some types of licences that are very specialist, which will require advice from a licensing lawyer. These include:

Many businesses work with external people and services like accountants, payroll managers and HR consultants to help manage one or more parts of their business.

Advisors in 羞羞视频 can be your payroll provider who has to log in to pull the latest salary information, or an HR consultant who is in charge of hiring new employees. Advisors have full admin permissions so they can easily manage things behind the scenes.

Advisor accounts are similar to normal admin accounts – they have full access to add new employees, view or edit employee profiles, upload or edit documents, review expenses and time off requests, setup new apps, view reports, export data and more.

What makes Advisors different from normal admins is that they don’t have a profile so they won鈥檛 appear on the org chart or in the people directory. They also can’t request time off, submit expenses like normal employees and they鈥檙e not included in your monthly bill.

To add or become an Advisor: go to an employee鈥檚 profile and select the Job Details tab, under Account Permissions you can select Advisor role.

Some stats say business owners spend 4鈥6 weeks per year on HR admin鈥娾斺奿t鈥檚 crazy.

The second (and important as our differentiator) thing we do is through our app store. The problem in HR is that there is a huge long tail of features鈥娾斺妉et鈥檚 call it 100 features. Every company wants 2鈥3 features听from the 100, but definitely don鈥檛 want all 100. Most HR software platforms have been on a feature adding spree鈥娾斺奲ut building all the features is very difficult鈥娾斺妔o maybe they have half of them. Their systems are hard to use鈥娾斺奱nd don鈥檛 do everything companies want. With our hub and spoke model we have an app store where we add native features built by us as well as third party extensions. Businesses can browse through it and add just the features they know they want. They essentially get a personalised, fully connected HR platform with a great user experience. In addition to our core, the most popular apps on 羞羞视频 are our expenses app and HR reports app.

Our biggest challenge was building Time Off. Time off is *super super *complicated when you get into the detail and inter-dependencies. We totally underestimated how difficult it was to build and it took us months longer than we had expected. On the upside鈥娾斺妛e now have鈥娾斺奍 think鈥娾斺妎ne of the best Time Off apps (feature)鈥娾斺奿n terms of functionality depth and UX.

On the technical side鈥娾斺娦咝呤悠 is built in听听with a听听back-end. We鈥檙e huge fans of react because of the simplicity in pushing updates to the web, iOS and Android at the same time or in quick succession.

We love听听for customer support.

The company are huge users of听鈥娾斺奊oogle Docs, Analytics, Hangouts etc. Real-time collaboration makes everything so much faster internally and their products are awesome.

Expenses Updates: More Currencies, Built-in Conversion, and More

If you’re a growing business and/or going global you鈥檒l probably have employees around the world and be working with several currencies, so we鈥檝e added wider currency support to 羞羞视频.

Now you can add expenses in any currency for those business trips abroad and set employee salaries for your team members around the world.

To make things easy for you 羞羞视频 even has built-in automatic conversion using live up-to-date exchange rates. For Expenses you can set your preferred default currency in .

We added a few other small features for Expenses as well:

You can now add mileage based expenses which will auto-calculate total based on the default rate for miles and kilometers. Set the default rate in your . Also, Claims are now exportable and printable so you can download a PDF of a claim with all the receipts attached.

New HR reports: Salary Profile and Starters & Leavers

With the new Salary Profile report, available in your , you can now see a breakdown of your company鈥檚 total payroll costs broken down by team. If you pay employees in multiple currencies, 羞羞视频 will even consolidate everything into a single currency so you get a clear picture of your real annual payroll costs.

We also added a report so you can visualise how many people joined and left your company within a selected date range.

People Profile Updates: Long Term Absence and Offboarding 听

We know that employees come and go, sometimes for good, which is why we鈥檝e added more control for handling people who are on Long Term Absence or leaving your team permanently.

You can set an employee鈥檚 status to Long Term Absence by going to their profile, selecting Job Details, and then setting their Account status. 羞羞视频 will remind you when an absence is approaching or when an employee is due to return from absence.

If an employee is leaving your company, or was temporary and their contract has finished, you can offboard them to archive their account and hide them from the dashboard and people directory. You can set an employee鈥檚 Leaving Date in advance and 羞羞视频 will remind you when it鈥檚 approaching. Read up on Offboarding employees .

 

Time off and Company Profile app updates

And in our efforts to continually make 羞羞视频 easier to use, we鈥檝e updated the page to make it easier to see at-a-glance what your policy鈥檚 settings are.

Digital Disruption. We’ve all heard that term a ton of times. But what does it really mean?

In my career, I’ve seen disruption of many kinds. We are currently seeing it on a huge scale in HR. But it is all too easy to look in the rear view mirror and accept the inevitable. Successes look as though they were meant to happen. Consider Amazon, Netflix, Facebook and Uber. Can you imagine your life without them?

If you can’t then you’re looking in the rearview mirror.

Predicting Change

These companies have come along and disrupted their industries to such an extent that they’ve become integral to our way of life. Yet we did live without them. When we were happily going about our business without them, how many people could genuinely have seen ahead, and predicted that these would be the specific ways these industries could be changed?

The answer: precious few. Which is why the people who started them are billionaires. And deservedly so, in my view.

听The frog

Put a frog in a pan of cold water, and turn up the heat. It will gradually go to sleep as the water warms up, lulled into a false sense of comfort and security.

When the water reaches 40%, it will simply die, without realising its fate.

And there is the rub. If we go to sleep, happy and content in our market niche, we too might boil to death as digital disruption comes to our industry.

 

 

Your organisation

Think about how well prepared your听organisation is for digital disruption – that you听haven’t even heard of yet.

The key is to do less of the things on the left, and more of the things on the right. Think about the organisation you are working in right now – where are YOUR vulnerabilities?

We like to think of our recent updates to 羞羞视频 that way too. Big things are great, (and we鈥檙e working on a lot of them!) but the little things add up to a lot. Especially when they are things that you have asked us for, that are going to make all the difference to your day.

Manually adjusting time off balances

Keeping track of time off without holiday spreadsheets is one of the great joys of using 羞羞视频.

But we all know that sorting out time off can end up being way more complex that it appears at first sight. We鈥檝e heard from you that you are doing some really cool things for your hardworking people. You鈥檙e giving extra holiday days for hitting bonuses and milestones, for long service, or for going the extra mile by working at weekends and on days off (sometimes called 鈥渢ime off in lieu鈥).

We discovered there was a real need for our customers to manually adjust an employee鈥檚 time off balance.

We鈥檝e heard that you love our clean, visually appealing people app. And you asked for ways to view it more flexibly – maybe you don鈥檛 always want to scroll through every team and location just to see who鈥檚 new in the Bristol office. So we added the ability to sort and filter it by team location, employment type, account status, team, or location.

Time Off Improvements

If you鈥檙e looking closely, you鈥檒l see the time off app has changed. We鈥檙e preparing for some important new features and options you鈥檝e asked us for, including support for part time employees. , and watch this space for more updates.

Pricing Updates

Finally, we鈥檝e had a lot of feedback about our pricing too. So we鈥檝e had a think and we believe we鈥檝e made it more transparent, simpler, fairer and better suited to your budgets.

We鈥檝e reduced the cost of the paid plan to 拢2 per user per month and the Free plan is now available for unlimited employees. We鈥檝e also updated the features available in each plan. Great leadership skills depend above all else on communication.

You’ve probably heard the advice for creating stunning presentations. “Tell them what you are going to tell them. Tell them. Then tell them what you’ve told them”

Sounds trite. But there is much that we all need to heed in this.

Communicating the key messages about your company is probably the most important job you’ve got as a leader. But sadly, the truth is that听no-one is constantly listening to their managers or bosses at work. People have so much to absorb that its easy to tune out, or rely on their colleagues to tell them what’s going on.

So if you are to be effective, 听you’ll need to up your game. Communicating effectively is a skill – just like anything else. You are not expected to know it simply because you’ve been given a leadership role.

1. Don’t expect anyone to remember what you said the first time.

You will need to repeat yourself until you are bored of the sound of your own voice. You will need to say things over and over again, in multiple different ways. Don’t give up, don’t think that you’ve really nailed your message after one or two meetings.

2. You need to use the channels that the listener prefers. Not always your preferred channels.

Some people love to talk, some hate it. Some will pick up new information rapidly, some take time to digest. You’ll need to provide ways that everyone can absorb the message. Just because you prefer sending emails, doesn’t necessarily mean your employees will read them. I’ve lost count of the times when people have asked me to explain emails I’ve sent them – over the phone – that I thought were truly simple!

3. People learn in different ways.

Psychologists have identified several different ways that people prefer to learn new things. For some its listening, others reading, for others its via social groups or activities. You’ll need to ensure you’ve provided tools for all your people. So, if you are communicating a change in your company, make sure you engage with people via team meetings, written briefings, emails, company noticeboards, and get out and about while people are socialising to spread the word.

4. Be kind and considerate.

We don’t always talk about kindness at work. But its critical. Especially when people are feeling vulnerable and you’re communicating a lot of change in your messages, for example.

People don’t leave their emotions or feelings at the office door. Being considerate is one of the most powerful things you can do. We talked to a friend recently听who is leaving a very well paid job at a large organisation simply because in the year she has worked there, her manager never once said good morning to her when she arrived for work, and ignored the greeting she gave him. How simply this could have been avoided!

5. You are communicating constantly through what you DO as well as what you SAY.

In the workplace, people notice everything you do – yes, absolutely everything. 听Your body language and actions communicate volumes. Think people don’t notice when you don’t live out your own values, or the company’s values? Think you can get away with not attending social events you expect your employees to do? Or taking your turn at essential office chores? Think again! What the leader does is the thing that everyone will do. I once worked at a company where my manager (the CEO) cleaned the toilets and took out the rubbish every day. He never had to ask for help – people pitched in automatically.

6. Be honest in your communication

People don鈥檛 expect you to know the answer to everything or to be always right. They are adults, and don’t expect you to be God. Its OK (good, in fact) to admit you have messed up, or don鈥檛 know the answer. What is bad, is to pretend to know, lie, or retreat into a hole when you don鈥檛 know what to do. There is nothing worse than an information vacuum while leaders are figuring out what to say. People will write their own stories – not necessarily what you want them to hear.

7. Communicate the WIIFM

People don鈥檛 listen to everything you say or understand what you are telling them. What? You鈥檝e told them 5 times? And they still don鈥檛 get it? What鈥檚 wrong with these people? There is nothing wrong with them, but there is something wrong with your communication. You听have not followed the number one rule 鈥 people need to know听鈥淲IIFM鈥澨(鈥渨hat鈥檚 in it for me鈥). If they don鈥檛 hear or see听this, they switch off, no matter how much noise you make.

8. People aren’t telling you the truth.

People don鈥檛 always tell you how they really feel, no matter how friendly you are with them or how long you have worked with them. We have听talked to countless CEOs听who tell me that all their people are very happy working at their company. How do they know? They 鈥渁sked鈥 them. Now, just think for a moment. You are a junior employee, and your boss or boss鈥檚 boss says, 鈥渄o you enjoy working here?鈥 Hmm鈥.great to be asked, but are you really going to reveal that you think your co-workers are lazy, you are fed up that you did not get asked to contribute to the new project, or that you think you deserved the promotion not your colleague? And just before she stopped by your desk you were updating your LinkedIn profile? I wonder.

To allow your people to communicate effectively with you, make sure you allow them the freedom to express themselves without judgement.
